1. Acceptance of Terms

By accessing or using WaitlistCare ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

2. Description of Service

WaitlistCare provides a cloud-based waitlist management platform that enables organizations to manage waitlists, track entries, and communicate with contacts. The Service includes features such as multi-location support, team collaboration, email notifications, and reporting.

3. Account Registration

To use our Service, you must:

Create an account with accurate and complete information
Be at least 18 years old or have legal authority to enter into this agreement
Maintain the security of your account credentials
Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account.

4. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose
Upload or transmit viruses or malicious code
Attempt to gain unauthorized access to our systems
Interfere with or disrupt the Service
Collect information about other users without consent
Use the Service to send spam or unsolicited communications
Violate any applicable laws or regulations

5. Data and Privacy

You retain ownership of all data you input into the Service. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service.

You are responsible for ensuring you have appropriate consent to collect and store personal information of individuals on your waitlist, including any applicable parental or guardian consents required under law (such as COPPA). Our use of your data is governed by our Privacy Policy.

To the extent required by data protection laws, you act as the data controller for the personal data you input into the Service, and WaitlistCare acts as your data processor. Where applicable, our Data Processing Agreement is hereby incorporated into these Terms.

6. Subscription and Payment

Free Trial: New accounts receive a 30-day free trial with full access to all features.

Subscription: After the trial period, continued use requires a paid subscription. Fees are charged per location.

Billing: Subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your payment method automatically.

Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not issue refunds for unused time on subscriptions canceled mid-billing period.

7. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted access. We may suspend or discontinue the Service for maintenance, updates, or other reasons. We will make reasonable efforts to provide advance notice of scheduled downtime.

8. Intellectual Property

The Service, including its original content, features, and functionality, is owned by WaitlistCare and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAITLISTCARE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Indemnification

You agree to indemnify and hold harmless WaitlistCare and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service or violation of these Terms.

12. Termination

We may terminate or suspend your account immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the Service ceases immediately. You may export your data before termination through your dashboard or by contacting support. We retain user data for 30 days after account termination, unless otherwise required by law.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law provisions.
